For founders outside Singapore

Everything your company needs locally — while you stay where you are.

Singapore law requires a director who lives in Singapore and a registered office here. We provide both, verify you on a live video call, and help you open your business account.

Every engagement starts with a fixed-fee quote in writing. No work begins until you approve it.

What Singapore requires of every company

These apply however small your company is, and wherever its owners live.

A director who lives in Singapore

At least one director must be ordinarily resident in Singapore. If a company carries on business without one for more than 6 months, a shareholder who knows can be personally liable for the company's debts from that period.

Companies Act 1967, s145(1) and s145(10)

A registered office in Singapore

From the day it's incorporated, your company needs a Singapore address for official letters and notices, open to the public for at least 3 hours on each business day.

Companies Act 1967, s142(1)

A company secretary who lives in Singapore

Every company needs one, and if you're the only director you can't also be the secretary. Our company secretary service covers this.

Identity checks — done remotely

As a corporate service provider we must verify who you are. For an overseas founder we do it on a live video call, so you don't need to travel.

Corporate Service Providers Regulations 2025, reg 28

Our nominee director service

A nominee director is a Singapore-resident director who fills the legal requirement while you run your business.

What it is

  • A director who lives in Singapore, arranged by us as a registered corporate service provider
  • Checked as fit and proper before each appointment, as the law requires
  • Set out in a written agreement, including how you'll keep the nominee informed about the company
  • Recorded in the company's register of nominee directors

Companies Act 1967 s145A and s386AKA; Corporate Service Providers Act 2024 s16.

What it isn't

  • The nominee doesn't run your business — you do.
  • A nominee director has the same legal duties as any director, so will only act lawfully and won't sign anything that breaks the law.
  • It isn't anonymous: we verify you and anyone who owns or controls the company, as the law requires.

Because a nominee director takes on real legal responsibility, we ask more about your company's purpose and where its funds come from before we arrange one.

Registered office address

Your company's official Singapore address — the one on ACRA's records and on letters from government agencies.

  • Mail received, opened and scanned to you
  • Hard copies couriered on request
  • As your company secretary, we're contactable during the office's public hours

This is a registered address service, not office space.

Opening your business account

Founders have come to us after their previous provider couldn't help with this.

  • First: a digital business account, such as Aspire or Airwallex, which you apply for online
  • Later: an account with a bank such as UOB, once your company is established
  • We prepare what they ask for, such as the board resolution and company documents

Each provider makes its own decision and sets its own requirements; a bank may ask a director to attend in person.

How it works from overseas

  1. Talk

A 15-minute call or a short message about your plans for Singapore.

  2. Written quote

A fixed-fee quote in writing within 1 business day of receiving the details of the company you want to form.

  3. Documents & video call

Certified copies of your passport and proof of address, then a short live video call to verify you.

  4. Incorporated

We file with ACRA and your UEN is issued — typically within 1–2 business days once complete information and cleared payment are received.

Your passport and proof of address need to be certified as true copies by a notary public, Commissioner for Oaths or lawyer — or covered by a statutory declaration. Full document list →

Questions overseas founders ask

Do I need to fly to Singapore?

Not to incorporate. We verify you on a live video call and handle the filing from here. A bank may have its own requirements when you open an account later.

Will the nominee director run my company?

No. You run the business. The nominee director meets the residency requirement and, like any director, must act lawfully. The agreement sets out how you keep them informed.

When can the nominee director step down?

Once another director who lives in Singapore is in place. The law doesn't allow a company's only resident director to resign, so a replacement comes first.

What if I move to Singapore later?

If you, or another director, come to live in Singapore, that person can become the resident director and the nominee can then step down.

Why do you need so many documents?

Singapore's anti-money-laundering rules require corporate service providers to verify every client — with extra checks when we haven't met in person. It protects you, too: it makes it much harder for anyone to set up a company in your name.

How much does it cost?

You get a fixed-fee quote in writing before any work starts. The nominee director and registered address are yearly services; everything is explained up front — no hidden costs.
