Company secretary & annual compliance

Every deadline after incorporation — handled by the person who set you up.

Every Singapore company needs a company secretary who lives in Singapore, records kept up to date, and its annual filings on time. We take care of it every year and track every date on your compliance calendar.

Every engagement starts with a fixed-fee quote in writing. No work begins until you approve it.

What's included

Every year

  • A company secretary who lives in Singapore, as the law requires
  • AGM preparation — or the AGM exemption, where your company qualifies
  • Annual return filed with ACRA
  • Your compliance calendar, with every deadline tracked
  • Board and shareholder resolutions
  • Share certificates, issued digitally
  • Email reminders before each deadline

ACRA's own annual-return filing fee is charged separately.

When things change during the year

  • Board and shareholder resolutions
  • Shareholder meetings
  • Constitution updates
  • ACRA filings when directors, shareholders or company details change

All of these are included in your yearly fee. ACRA's own fees, where a filing has one, are charged separately.

Need a printed share certificate? We pass on the printer's charge at cost — no mark-up.

Accounts, tax and XBRL

We prepare these ourselves, each quoted separately: bookkeeping, unaudited financial statements, XBRL filing, corporate tax filing with IRAS, and GST registration and filing.

Your yearly calendar

Everything counts from your financial year end — the date you chose when the company was set up.

  1. Year end

    Financial year closes

The clock for the AGM and annual return starts here.

  2. Within 5 months

    Send the financial statements

If a private company sends them to shareholders by now, it doesn't need an AGM — unless a shareholder asks for one.

  3. Within 6 months

    Hold the AGM

Unless your company is exempt, or all shareholders have agreed to dispense with AGMs.

  4. Within 7 months

    File the annual return

Lodged with ACRA. If a deadline can't be met, an extension can be applied for before it passes.

What Singapore law requires — and how we help

A company secretary who lives in Singapore

Every company needs at least one, and the post can't be left empty for more than 6 months. Our company secretary service covers this.

Companies Act 1967, s171(1) and s171(4A)

A sole director can't also be the secretary

Common for overseas founders running a one-person company: you'll need someone else as company secretary — we can act as yours.

Companies Act 1967, s171(1E)

Changes reported within 14 days

When a director or secretary is appointed, leaves or changes their details, ACRA must be told within 14 days. We file it for you.

Companies Act 1967, s173A(1)

Minutes and registers kept

Minutes of shareholders' and directors' meetings must be entered within one month, and the company must keep registers such as its registrable controllers and nominee directors.

Companies Act 1967, s188, s386AF and s386AKA

Company secretary questions

Can I be my own company secretary?

Only if your principal or only home is in Singapore and you're not the company's only director. Otherwise, we can act as your company secretary.

Do I have to hold an AGM every year?

Not always. A private company is exempt if it sends its financial statements to shareholders within 5 months after the financial year end — unless a shareholder asks for an AGM. All shareholders can also agree to dispense with AGMs. We'll tell you which applies to your company.

When are my AGM and annual return due?

Count from your financial year end: the AGM within 6 months and the annual return within 7 months. Your first financial year can be up to 18 months long, unless ACRA approves otherwise.

What if a deadline is missed?

Missing the AGM deadline is an offence: the company and every officer in default can be fined up to $5,000, plus a default penalty. If a deadline can't be met, an extension of time can be applied for before it passes — we track the dates so it doesn't come to that.

How much does it cost?

You get a fixed-fee quote in writing before any work starts. Everything is explained up front — no hidden costs.
